Welcome to WME Canada (“we,” “our,” “us”). These Terms of Service (“Terms”) govern your use of our services, including Microsoft licensing, subscriptions, cloud services, and related IT solutions (collectively, the “Services”) in Canada. By using our Services, you agree to these Terms. If you do not agree, you may not use our Services.
1. Eligibility
You must be at least the age of majority in your province or territory of residence to enter into these Terms and use our Services.
2. Services Provided
WME Canada provides Microsoft-related solutions, including but not limited to:
- Microsoft 365 licensing and subscriptions
- Microsoft Entra ID licensing
- Microsoft Azure licensing
- Cloud and IT management solutions
Services are provided in accordance with Microsoft’s licensing terms and applicable Canadian laws.
3. Accounts & Responsibilities
- You are responsible for providing accurate information when purchasing or managing subscriptions.
- You are responsible for safeguarding login credentials and account access.
- You agree not to misuse our Services or use them for unlawful purposes.
4. Fees & Payment
- Fees for licensing and subscriptions will be charged as agreed at the time of purchase.
- All prices are in Canadian dollars (CAD) unless otherwise stated.
- Payments are due as per the billing cycle communicated to you.
- Taxes (including GST/HST and applicable provincial taxes) will be applied in accordance with Canadian law.
5. Renewal & Cancellation
- Microsoft subscriptions typically auto-renew unless cancelled in accordance with Microsoft and WME Canada policies.
- Cancellation requests must be made before the renewal date to avoid charges.
- Refunds, if applicable, will be subject to Microsoft and WME Canada’s refund policies.
6. Data Privacy
- We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and relevant provincial privacy laws.
- Personal data collected is used only for the purpose of delivering Services.

7. Service Availability & Limitations
- We strive to provide reliable and continuous access to our Services.
- However, we do not guarantee uninterrupted or error-free service.
- Microsoft service outages or third-party provider disruptions are outside of WME Canada’s control.
8. Intellectual Property
- All content, branding, and materials provided by WME Canada are our intellectual property.
- Microsoft trademarks, product names, and software are owned by Microsoft and used under license.
9. Limitation of Liability
To the maximum extent permitted by Canadian law:
- WME Canada is not liable for indirect, incidental, or consequential damages.
- Our total liability for any claim will not exceed the fees paid by you in the past 12 months.
10. Indemnification
You agree to indemnify and hold harmless WME Canada, its affiliates, employees, and partners from any claims, damages, or losses resulting from your misuse of the Services.
11. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be subject to the courts of Ontario.
12. Amendments
We may update these Terms from time to time. The updated version will be posted on our website with the revised date. Your continued use of the Services constitutes acceptance of the changes.
